Number of shares:  2.75 million

Purchase price:  15 cents per share

Warrants:  2.75 million share purchase warrants to purchase 2.75 million shares

Warrant exercise price:  25 cents for a one-year period

Number of placees:  24

Pro group participation:  Brock Aynsley, 325,000; David Elliot, 100,000; David Shepherd, 100,000; Andrew Williams, 100,000

Insider participation:  Ellen Clements, 23,334; Gerald Rayner, 40,000

Finders' fees:  8 per cent of the number of units placed payable in common shares or 8 per cent of the proceeds raised payable in cash as follows: 40,000 shares payable to Bolder Investment Partners Ltd.; 22,000 shares payable to Northern Securities Inc.; 80,000 shares payable to Haywood Securities Inc.; 8,000 shares payable to Gabriela Gates; 26,000 shares payable to Brock Aynsley; $2,400 cash payable to J. Boileau; $1,200 cash payable to Global Securities Corp.
